Responsible AI Use

Intellectual Property Rights

Client Materials

You retain ownership of all content, data, trademarks, and materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering the agreed-upon services.

ZTAT LLC Materials

Unless otherwise specified in a separate written agreement, ZTAT LLC retains ownership of all pre-existing intellectual property, tools, frameworks, methodologies, and proprietary systems used in delivering services. We grant you a non-exclusive license to use deliverables for your intended business purposes upon full payment.

Work Product

Ownership of custom work product and deliverables will be specified in individual service agreements or statements of work. In the absence of such specification, custom deliverables created specifically for you will be owned by you upon full payment, while underlying tools and frameworks remain our property.

Payment Terms

Fees and Payment

Payment terms will be outlined in individual proposals, contracts, or invoices. Unless otherwise agreed:

• Invoices are due within 30 days of receipt
• All fees are quoted in U.S. dollars
• Fees do not include applicable taxes, which are your responsibility

Late Payments

Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services if payment is significantly overdue.

Refunds

Refund policies will be specified in individual service agreements. Generally, fees for completed work are non-refundable. For ongoing services, refunds may be provided on a prorated basis at our discretion.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any service agreement. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. If services do not meet this standard, we will re-perform the deficient services at no additional cost.

Disclaimer

Except as expressly provided herein, services and deliverables are provided "as is" without warranty of any kind. ZTAT LLC disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, ZTAT LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to these Terms or our services.

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to ZTAT LLC in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ZTAT LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content or materials you provide to us.

Termination

Termination for Convenience

Either party may terminate ongoing services with 30 days' written notice, unless otherwise specified in a service agreement.

Termination for Cause

Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving notice.

Effect of Termination

Upon termination:

1. You shall pay for all services rendered through the termination date
2. Each party shall return or destroy confidential information of the other party
3. Provisions that by their nature should survive termination shall remain in effect

Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiations between the parties. If unresolved within 30 days, either party may pursue mediation or binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Florida, and the decision shall be final and binding.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Florida for any disputes not subject to arbitration.

Miscellaneous Provisions

Entire Agreement

These Terms, together with any applicable service agreements, proposals, or statements of work, constitute the entire agreement between you and ZTAT LLC regarding the subject matter herein.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
